Soleno provides custom software development, Framer development, SEO optimization, and AI integration services. The specific scope, timeline, deliverables, and fees for any project will be defined in a separate project agreement or proposal between you and Soleno.

3. Project Agreements

All project work is governed by individual project agreements. These agreements will outline:

  • Scope of work and deliverables.
  • Project timeline and milestones.
  • Pricing, payment schedule, and accepted payment methods.
  • Revision policy and change request procedures.
  • Intellectual property ownership and transfer terms.

In the event of any conflict between these Terms and a project agreement, the project agreement will prevail for the scope of that project.

4. Intellectual Property

Unless otherwise specified in a project agreement:

  • All content on this Site — including text, graphics, logos, and design — is the property of Soleno and is protected by applicable intellectual property laws.
  • Upon full payment, clients receive ownership of the custom deliverables created specifically for their project, as defined in the project agreement.
  • Soleno retains the right to use general knowledge, techniques, and non-proprietary components developed during a project.
  • Soleno may showcase completed work in its portfolio unless a non-disclosure agreement is in place.

5. Payment Terms

  • Payment terms and schedules are outlined in individual project agreements.
  • A deposit may be required before work begins.
  • Late payments may result in project delays or suspension of work until the outstanding balance is resolved.
  • All fees are non-refundable once work has commenced on the agreed deliverables, unless stated otherwise in the project agreement.

6. Client Responsibilities

To ensure successful project delivery, clients agree to:

  • Provide timely feedback, content, assets, and approvals as reasonably requested.
  • Designate a single point of contact for project communications.
  • Ensure that any materials provided to Soleno do not infringe on third-party rights.

Delays caused by late client responses may result in adjusted timelines.

7. Limitation of Liability

To the maximum extent permitted by law, Soleno shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our Site or services. Our total liability for any claim arising from a project shall not exceed the total fees paid by you for that project.

8. Warranty Disclaimer

Our Site and services are provided “as is” and “as available” without warranties of any kind, either express or implied. While we strive to deliver high-quality work, we do not guarantee that our Site will be uninterrupted, error-free, or free of harmful components.

9. Termination

Either party may terminate a project engagement as outlined in the applicable project agreement. We reserve the right to suspend or restrict access to our Site at any time without notice for conduct that we believe violates these Terms or is harmful to other users or our business.

10. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of a project. This obligation survives the termination of any project agreement unless the information becomes publicly available through no fault of the receiving party.

11. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or our services shall be resolved through good-faith negotiation first, and if unresolved, through binding arbitration or the appropriate courts.

12. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with a revised date. Continued use of our Site after changes are posted constitutes your acceptance of the updated Terms.
